Welcome to STIK World Company.

These Terms of Use (“Terms”) govern your use of STIK, except where we expressly state that other provisions apply instead, and provide information about the STIK Service (“Service”) on the terms described below. When you create a STIK account or use STIK, you agree to these terms.

STIK Service

We agree to provide you with the STIK Service. The Service includes all STIK products, features, applications, services, technologies, and software that we offer to fulfill the platform’s purpose, which is to turn your favorite products and objects into social networks. The Service consists of the following:

• Offering personalized opportunities to create, connect, communicate, discover, and share. We provide various features for you to create, share, and establish your presence, and communicate with people both inside and outside of STIK. We also aim to strengthen relationships through shared experiences that truly interest you. To this end, we create systems that attempt to define what things and people interest you and others, and we use that information to help you create, find, and share relevant experiences, as well as join them. Part of this process involves highlighting content, features, offers, and accounts that might interest you, as well as offering you ways to experience STIK based on what you and others do both inside and outside of STIK. You can refer to our Privacy Policy for more information on how we personalize your STIK experience.
• To foster safety, integrity, and protection on STIK, we develop and employ tools and offer resources to members of our community to ensure their experiences are inclusive and positive. For example, when we believe they may need assistance. We also have teams and systems whose purpose is to combat misuse and violations of our Terms and policies, as well as to eradicate harmful and fraudulent behaviors. We use all available information, including yours, to safeguard our platform. Additionally, we may share information about misuse or harmful content with authorities. • Developing and utilizing technologies that help us continuously provide services to our ever-growing community. In order to offer our Service under optimal conditions, it’s crucial to organize and analyze the information from our expanding community. A significant part of our Service involves creating and using cutting-edge technologies that assist us in personalizing, safeguarding, and enhancing our Service on a large scale, making it available to a broad international community. Technologies such as artificial intelligence and machine learning enable us to apply complex processes to all our Services. The use of this global infrastructure is necessary and essential for providing our Service. • Providing and improving STIK Products. We use the information available to us to develop, test, and enhance our Service and collaborate with other parties to research how we can improve it and contribute to the well-being of our community. This includes analyzing the information we have about our users and understanding how people use our Services, for example, by conducting surveys, testing new features, and addressing issues related to them. To provide our Service, we need to collect and use your information. The Privacy Policy explains how we collect and use the information.

Commitments you assume

We provide you the Service in exchange for you assuming the following commitments.

Who can use STIK.

We want our Service to be as inclusive and open as possible, but also safe and compliant with the law. For this reason, if you want to be part of the STIK community, it is necessary for you to accept some restrictions.

• You must be at least 14 years old.
• You must not have a history indicating that you have been prohibited from using any aspect of our Service under the law.
• Your account must not have been previously disabled due to a violation of the law or any of our policies.
• You cannot have been convicted of sexual offenses.

Restrictions on the use of STIK.

We all must do our part to ensure that the community has an open and safe Service.

• Do not impersonate other individuals or provide us with false information. While it is not necessary to disclose your identity on STIK, you must provide us with accurate and up-to-date information (including registration information), which may involve providing us with personal data. Additionally, you may not impersonate any other person or entity or create an account on behalf of another user (unless you have their express permission).
• Do not engage in unlawful, deceptive, or fraudulent activities, nor activities with illegal or unauthorized purposes.
• You may not violate these Terms or our policies (nor assist or encourage others to do so).
• Do not take any action that interferes with the Service or prevents it from functioning as intended. Such actions include the misuse of any reporting, complaint, or appeal channels (e.g., submitting fraudulent or baseless reports or appeals).
• Do not attempt to collect or access information, or create accounts using unauthorized means. This includes creating accounts or collecting information through automated means without our express permission.
• You may not sell or acquire accounts or data obtained through us or our Service, nor grant licenses in relation to them. This includes attempts to buy, sell, or transfer any aspect of your account (including the username); request, collect, or use other users’ badges or login credentials; request or collect STIK usernames or passwords, or misappropriate access identifiers.
• Do not publish another person’s private or confidential information without their permission or take actions that infringe on the rights of third parties, including intellectual and industrial property rights (e.g., copyright or trademark infringements, counterfeiting, or pirated items). You may use the work of another person in accordance with the limitations or exceptions established in copyright and other related rights legislation, within the framework of applicable law. You represent that you have obtained all necessary rights in relation to the content you post or share.
• Do not modify or translate our products or their components. Do not create derivative works from them or reverse-engineer them.
• Do not use a URL or domain name in your username without our prior written consent.

Permissions you grant us.

As part of our agreement, you also grant us the necessary permissions to provide you with the Service.

• We do not claim ownership of your content, but you grant us a license to use it. Your rights regarding the content do not change. We do not claim ownership of the content you post on the Service or through it, and you can share it with whomever you deem appropriate wherever you see fit. However, you must grant us certain legal permissions (“license”) so that we can provide the Service. When you share, post, or upload content protected by intellectual or industrial property rights (such as photos or videos) on our Service or in connection with it, according to this agreement, you grant us a worldwide, non-exclusive, transferable, sublicensable, and royalty-free copyright license to host, use, distribute, modify, maintain, reproduce, translate, and publicly display or communicate your content, as well as to create derivative works (in accordance with your privacy and app settings). The license will expire when the content is removed from our systems. You can delete specific pieces of content or, if you delete your account, all of your content at once. • Permission to use your username, profile picture, and information about your relationships and interactions with accounts, products, and objects. You grant us permission to display your username, profile picture, and information about the actions you take (such as Likes) or the relationships you establish (such as the content you decide to follow) alongside (or in relation to) accounts without any obligation on our part to provide you with compensation in this regard.
• You agree that we may download and install updates to the Service on your device.

Additional rights we reserve

• If you select a username or similar identifier for your account, we reserve the right to change it if we deem it necessary or convenient (for example, if it infringes on the intellectual or industrial property rights of another person or is used to impersonate another user).
• We reserve all rights regarding the content protected by our intellectual or industrial property rights that we make available on our Service (such as images, designs, videos, or sound that we offer) and that you add to the content you create or share. You will retain the intellectual or industrial property rights related to your content.
• You must obtain our written permission or have permission under an open-source license to modify, decompile, or otherwise attempt to extract our source code, as well as to create derivative works from it.

Content Removal and Account Suspension or Termination

• We may remove or restrict any content or information you share on the Service if we believe it violates these Terms of Use or our policies, or if the law requires us to do so. Additionally, we may refuse to provide you with the Service or cease doing so, in whole or in part, immediately, to protect our community or our services, or if you pose a legal risk or exposure to us, violate these Terms of Use or our policies, repeatedly infringe on the intellectual or industrial property rights of third parties, or if the law requires us to do so. We may also cancel or modify the Service, remove or block content or information shared on it, or cease providing it, in whole or in part, if we determine it is reasonably necessary to prevent or minimize adverse legal or regulatory consequences for us. When we remove content under certain circumstances, we will inform you of this measure and explain the options available to you for requesting another review, unless: you seriously or repeatedly violate these Terms; or providing you with another review could expose us or third parties to legal liabilities; could harm our user community; could compromise or jeopardize the integrity or operation of our services, systems, or products; or we experience technical restrictions or do not have permission to do so for legal reasons. From the moment you request the deletion of content or the account, the deletion process will automatically commence within 30 days from your request. Once this process is initiated, the content may take up to 90 days to be deleted. Although the content is no longer visible to other users while the deletion process is ongoing, it remains subject to these Terms of Use and our Privacy Policy. Once deleted, it may take up to an additional 90 days for it to be removed from our disaster recovery systems and our backups.
• Content will not be deleted after 90 days of the deletion process initiation or of the account in the following situations:
• Other individuals have used your content in accordance with this license and have not deleted it (in which case, this license will remain in effect until the content is deleted).
• Deletion cannot be completed within 90 days due to technical limitations in our systems (in which case, it will be done as soon as technically feasible).
• Deletion restricts our ability to perform the following actions:
• Investigate or detect illegal practices or violations of our terms and policies (for example, misuse of our products or systems).
• Ensure the safety and protection of our products, systems, and users.
• Comply with any legal obligation, such as preserving evidence.
• Comply with requirements from judicial, administrative, or police authorities, as well as governmental agencies.
• In the aforementioned situations, the content will be stored for the necessary time (on a case-by-case basis) to fulfill the purposes for which it has been retained.
• If you delete or disable your account, these Terms will cease to be an effective agreement between you and us, although both this section and the next (“Our agreement and what happens if there is a dispute”) will continue to apply, even if you decide to cancel, disable, or delete your account.

Our agreement and what happens if there is a dispute 

• If any part of this agreement is found to be invalid, the remaining part will still be enforceable.
• Any amendment or waiver to our agreement must be made in writing and have our signature. If we do not enforce any part of this agreement, it will not be considered a waiver on our part.
• We reserve all rights not expressly granted to you. 

Who holds the rights under this agreement. 

• This agreement does not confer rights to third parties.
• You may not assign any of the rights or obligations granted to you under this agreement without our consent.
• Our rights and obligations may be assigned to other parties. For example, in the event of a change in ownership (as part of a merger, acquisition, or asset sale) or as required by law.

Who bears responsibility if something happens. 

• We will act with reasonable care and skill in providing you with our Service and maintaining a safe and error-free environment. However, we cannot guarantee that our Service will always function without interruptions, delays, or imperfections. Provided that we have acted with reasonable care and skill, we assume no liability for: losses not caused by our breach of these Terms or as a result of our actions; losses that neither you nor we could reasonably foresee at the time of accepting these Terms; content posted by other individuals that is offensive, inappropriate, obscene, illegal, or otherwise questionable and that you may encounter on our Service; and events that reasonably escape our control.
• The above provision does not exempt us from liability or limit it in cases of death, personal injury, or fraudulent misrepresentation resulting from our negligence. Nor does it exclude or limit our liability for any other cause or reason that the law does not permit.

How we will resolve disputes. 

In the event of a claim or dispute arising from your use of the Service as a consumer or in connection with it, both you and we agree that you may bring them individually against us, as we may against you, in any competent court of the country where your principal residence is located, provided that it has jurisdiction over the dispute in question. The law of that country will apply, regardless of provisions regarding conflicts of law.

Regarding potential claims or conflicts between you and us related to any other aspect of using the Services, including, but not limited to, accessing them or using them for business or commercial purposes, you agree that the claim or conflict in question must be resolved in a competent court in Ireland and will be governed by the laws of that country (regardless of any provisions regarding conflict of laws). 

Unsolicited material.

Comments and suggestions are always welcome. However, we may use them without any restriction or obligation to compensate you for them. We also have no duty to consider them as confidential.

Updating these Terms

We may modify our Service and our policies, and as a result, we may need to update these Terms to accurately reflect such Services and policies. Unless the law requires otherwise, we will provide you with notice (for example, through our Service) at least 30 days before modifying these Terms, so you can review the changes before they take effect. Your use of the Service after this date will constitute acceptance of the modifications made.
